Alliance Trucking Payment Authorization & Electronic Payment Terms

These Payment Authorization and Electronic Payment Terms apply only to customers who enroll in or use Alliance Trucking LP’s payment portal or electronic payment systems.

These terms do not apply unless accepted by the customer through the payment portal or otherwise agreed in writing.

1. Authorization for Electronic Payments (ACH / Bank Transfers)

Customer authorizes Alliance to initiate electronic debit and credit entries to any bank account designated by Customer through Alliance’s payment portal or otherwise provided to Alliance.

This authorization includes, without limitation:

  • payment of invoices
  • correction of errors
  • recovery of overpayments or duplicate payments
  • recovery of amounts owed under any agreement between Customer and Alliance
  • administrative fees, returned payment fees, or other charges

This authorization shall remain in full force and effect until revoked in writing by Customer, and such revocation shall not apply to transactions initiated prior to receipt of notice.

Customer represents and warrants that it is authorized to provide such bank account information and to authorize such transactions.

Customer agrees that any authorization provided electronically through Alliance’s systems, including payment authorizations, shall constitute valid and binding authorization for such transactions.

2. Stored Payment Methods

Customer authorizes Alliance to securely store Customer’s bank account and payment credentials for future transactions.

Customer agrees that Alliance may use stored payment methods for:

  • one-time payments
  • recurring payments
  • payments initiated by Customer through the portal

3. ACH Rules Compliance (NACHA)

Customer acknowledges that ACH transactions are governed by NACHA Operating Rules.

Customer agrees:

  • not to initiate unauthorized returns
  • not to dispute transactions except in the case of actual fraud or error
  • to comply with all applicable ACH rules

4. Returned Payments / Reversals / NSF

Customer agrees:

  • All returned, rejected, or reversed payments remain due and payable
  • Customer is responsible for insufficient funds (NSF), unauthorized return claims, administrative fees, and bank penalties

Customer agrees to indemnify and hold Alliance harmless from any losses, fees, or penalties arising from:

  • returned payments
  • chargebacks
  • improper disputes

5. Real-Time Payments (RTP), FedNow, and Wires

Customer acknowledges:

  • RTP, FedNow, and wire transfers are final and irrevocable
  • Once initiated, such payments cannot be reversed

Customer assumes all risk associated with:

  • incorrect payment instructions
  • incorrect account details
  • duplicate payments

6. Fraud / Account Security

Customer is solely responsible for:

  • safeguarding login credentials
  • restricting access to authorized users
  • monitoring account activity

Alliance shall not be liable for losses resulting from compromised credentials or unauthorized access due to Customer’s failure to secure its account.

7. Payment Portal Use

Customer agrees:

  • portal access is provided “as-is”
  • Alliance does not guarantee uninterrupted availability
  • Alliance is not liable for system outages, delays, or processing errors beyond its control

8. Fees

Alliance reserves the right to charge:

  • ACH return fees
  • failed payment fees
  • expedited payment fees
  • administrative processing fees

9. Electronic Consent (ESIGN / UETA)

Customer consents to electronic records, electronic signatures, and electronic authorizations. These shall have the same legal effect as handwritten signatures.

10. Modifications

Alliance may update these Payment Terms at any time. Continued use of the payment portal constitutes acceptance of updated terms.

11. Governing Law

These Payment Terms shall be governed by the laws of the State of Texas, unless otherwise required by applicable law.
